  Welcome to FocusNest ("App", "we", "us", or "our"). By downloading,

  accessing, or using the FocusNest mobile application, you agree to be

  bound by these Terms of Use ("Terms"). If you do not agree to these Terms,

   do not use the App.


  2. ELIGIBILITY


  You must be at least 13 years old to use FocusNest. If you are under 18,

  you represent that you have your parent or guardian's permission to use

  the App. By using the App, you represent and warrant that you meet these

  requirements.


  3. ACCOUNT AND REGISTRATION


  You may be required to create an account to access certain features. You

  are responsible for:

  - Maintaining the confidentiality of your account credentials

  - All activities that occur under your account

  - Notifying us immediately of any unauthorized access


  4. SUBSCRIPTIONS AND PAYMENTS


4.1 Captain's Club Membership


  FocusNest offers premium subscriptions ("Captain's Club") with multiple

  subscription tiers including weekly, monthly, and annual options.


  Subscription prices are displayed in the App and in the App Store in your

  local currency at the time of purchase. Prices may vary by region and are

  subject to change with notice to existing subscribers.


4.2 Auto-Renewal


  Subscriptions automatically renew unless cancelled at least 24 hours

  before the end of the current period. Your account will be charged for

  renewal within 24 hours prior to the end of the current period.


  4.3 Subscription Management


  You can manage or cancel your subscription through your Apple App Store

  account settings. Cancellation takes effect at the end of the current

  billing period.


  4.4 Refund Policy


  Refunds are handled according to Apple's App Store refund policies.

  Generally, payments are non-refundable except as required by law or at our

   sole discretion.


  4.5 Free Trial


  If we offer a free trial, you will be charged when the trial ends unless

  you cancel before the trial period expires.


  5. VIRTUAL CURRENCY AND ITEMS


  5.1 Coins and Pearls


  The App includes virtual currencies (Coins and Pearls) and virtual items

  (decorations, avatars, furniture) that can be earned through app usage or

  obtained through subscription.


  5.2 No Real-World Value


  Virtual currencies and items have NO real-world monetary value and CANNOT

  be exchanged for real currency, goods, or services. We reserve the right

  to modify, manage, control, or eliminate virtual currency or items at our

  discretion without liability to you.


  5.3 No Refunds for Virtual Items


  Once earned or purchased, virtual currencies and items are non-refundable

  and non-transferable.


  6. USER CONDUCT


  You agree NOT to:

  - Use the App for any illegal purpose

  - Attempt to gain unauthorized access to any portion of the App

  - Interfere with or disrupt the App's servers or networks

  - Upload malicious code, viruses, or harmful content

  - Harass, abuse, or harm other users

  - Impersonate any person or entity

  - Use automated systems (bots, scrapers) to access the App

  - Reverse engineer, decompile, or disassemble the App

  - Sell, rent, lease, or sublicense your access to the App


  7. HEALTH AND FITNESS FEATURES


  7.1 Step Tracking and Focus Sessions


  FocusNest includes habit tracking features including step counting and

  focus timers. These features are for informational and motivational

  purposes only.


  7.2 Not Medical Advice


  The App is NOT intended to diagnose, treat, cure, or prevent any disease

  or medical condition. Always consult a healthcare professional before

  starting any fitness or wellness program.


  7.3 Use at Your Own Risk


  You assume full responsibility for your health and wellness decisions. We

  are not liable for any injuries, health issues, or damages arising from

  your use of the App.


  8. INTELLECTUAL PROPERTY


  8.1 Ownership


  All content, features, functionality, graphics, images, designs, text, and

   software in the App are owned by [YOUR COMPANY NAME] and are protected by

   copyright, trademark, and other intellectual property laws.


  8.2 Limited License


  We grant you a limited, non-exclusive, non-transferable, revocable license

   to access and use the App for personal, non-commercial purposes in

  accordance with these Terms.


  8.3 Restrictions


  You may not copy, modify, distribute, sell, or create derivative works

  from any content in the App without our express written permission.


  9. USER CONTENT


  9.1 Your Data


  You retain ownership of any data you input into the App (habit logs,

  profile information, etc.). By using the App, you grant us a license to

  use this data to provide and improve the App as described in our Privacy

  Policy.


  9.2 Profile and Social Features


  If you use social features (friends list, profile sharing), you understand

   that certain information may be visible to other users.


  10. PRIVACY


  Your privacy is important to us. Our Privacy Policy explains how we

  collect, use, and protect your information. By using the App, you consent

  11. THIRD-PARTY SERVICES


  The App may integrate with third-party services (Apple HealthKit, etc.).

  Your use of these services is subject to their respective terms and

  privacy policies. We are not responsible for third-party services.


  12. DISCLAIMERS


  12.1 "AS IS" Basis


  THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY

  KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF

  MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


  12.2 No Guarantees


  We do not guarantee that the App will be uninterrupted, error-free,

  secure, or free from viruses or harmful components.


  13. LIMITATION OF LIABILITY


  TO THE MAXIMUM EXTENT PERMITTED BY LAW, [YOUR COMPANY NAME] SHALL NOT BE

  LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE

  DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR

  USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH

  DAMAGES.


  IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN

  THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.


  14. INDEMNIFICATION


  You agree to indemnify, defend, and hold harmless  1532863 B.C. Ltd., its

   officers, directors, employees, and agents from any claims, damages,

  losses, liabilities, and expenses (including legal fees) arising from:

  - Your use of the App

  - Your violation of these Terms

  - Your violation of any rights of another user or third party


  15. TERMINATION


  15.1 By You


  You may stop using the App at any time. Deleting the App from your device

  does not cancel subscriptions.


  15.2 By Us


  We reserve the right to suspend or terminate your access to the App at any

   time, with or without cause or notice, including for violation of these

  Terms.


  15.3 Effect of Termination


  Upon termination, your right to use the App ceases immediately.

  Subscription fees are non-refundable except as required by law.


  16. CHANGES TO TERMS


  We may modify these Terms at any time. We will notify you of material

  changes by updating the "Last Updated" date or through the App. Your

  continued use after changes constitutes acceptance of the new Terms.


  17. CHANGES TO THE APP


  We reserve the right to:

  - Modify or discontinue any feature of the App

  - Change subscription pricing with notice to existing subscribers

  - Update the App's content, features, and functionality


  18. GOVERNING LAW


  These Terms shall be governed by and construed in accordance with the laws

   of Vancouver, British Columbia, without regard to its conflict of law provisions.


  19. DISPUTE RESOLUTION


  19.1 Informal Resolution


  Before filing a claim, you agree to contact us at admin@tensai.tech to attempt

  to resolve the dispute informally.


19.2 Governing Law and Jurisdiction


  Any disputes shall be resolved in accordance with the laws of British

  Columbia and the federal laws of Canada applicable therein. You agree to

  submit to the exclusive jurisdiction of the courts located in Vancouver,

  British Columbia.



  19.3 Class Action Waiver


  You agree to resolve disputes on an individual basis only, and waive any

  right to participate in class actions or representative proceedings.


  20. SEVERABILITY


  If any provision of these Terms is found to be unenforceable or invalid,

  that provision shall be limited or eliminated to the minimum extent

  necessary, and the remaining provisions shall remain in full force and

  effect.


  21. ENTIRE AGREEMENT


  These Terms, together with our Privacy Policy, constitute the entire

  agreement between you and 1532863 B.C. Ltd.regarding the App.

  1.3 Health Data


  We access step count data from Apple HealthKit solely to:

  - Track daily step goals

  - Calculate rewards (coins, XP) based on step achievements

  - Display your step progress in the App


  Important: Health data from HealthKit is NOT:

  - Shared with third parties

  - Used for advertising or marketing

  - Sold or transferred to any other entity

  - Stored on our servers (processed locally on your device)


  We comply with Apple's HealthKit guidelines and use health data

  Subscription purchases (Captain's Club memberships) are processed by

  Apple. We do not collect or store your payment information.


  Apple's Privacy Policy governs how your payment and billing information is

  We receive limited information from Apple such as:

  - Subscription status (active/expired)

  - Subscription tier (Weekly/Monthly/Annual)

  - Renewal date
